Terms of Service

Slyseed, Inc. (“Slyseed,” “we,” “us,” or “our”) operates Gouvernail at gouvernail.ai. These documents describe how we provide the service and handle your information.
This document is provided for informational purposes and does not constitute legal advice. Consult qualified counsel for your specific situation.
1. Agreement to Terms
By accessing or using Gouvernail (“Service”), creating an account, signing in with your phone number, or sending messages to our WhatsApp or SMS numbers, you agree to these Terms of Service (“Terms”) and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
2. Description of Service
Gouvernail is an AI agent orchestration platform. We run headless coding agents in isolated cloud sandboxes, connect to your GitHub repositories at your direction, and communicate with you via web dashboard, SMS, and WhatsApp. The Service includes work-unit lifecycle management, pull request workflows, preview deployments, human-in-the-loop approvals, and related features. Gouvernail orchestrates agents; it does not replace your judgment, your code review obligations, or your responsibility for code shipped to production.
3. Eligibility
You must be at least 13 years old to use the Service. If you are under 18, you may use the Service only with involvement of a parent or legal guardian who agrees to these Terms. By using the Service, you represent that you meet these requirements and have authority to bind any entity on whose behalf you use the Service.
4. Account Registration and Security
Accounts are created using phone-based one-time password (OTP) verification. You are responsible for maintaining access to your phone number and for all activity under your account. Notify us promptly at privacy@gouvernail.ai if you suspect unauthorized access.
You may optionally connect GitHub and provide API keys for agent providers (e.g., Anthropic, OpenAI). You represent that you have the right to grant us access to those credentials solely to provide the Service.
5. Messaging Services (SMS and WhatsApp)
By signing in and verifying your phone number, you provide express consent to receive transactional SMS and/or WhatsApp messages from Gouvernail, including OTP codes, work-unit status updates, human-in-the-loop approval requests, and service-related notifications. Message and data rates may apply.
These messages are transactional and service-related, not marketing unless we clearly identify a message as promotional and provide a separate opt-in where required. You may opt out of non-essential messages at any time by replying STOP. Reply HELP for assistance. Opting out of messaging may limit your ability to use phone-based features but does not automatically delete your account.
Consent to receive messages is not a condition of purchase where prohibited by law. See our Privacy Policy for how we handle phone numbers and messaging data.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Submit prompts or instructions designed to generate malware, exploit systems without authorization, or facilitate illegal activity
- Attempt to bypass sandbox isolation, access other users' data, or probe our infrastructure
- Abuse free-tier resources, circumvent usage limits, or interfere with Service availability
- Infringe intellectual property or upload content you do not have rights to use
- Harass, threaten, or send unsolicited commercial messages through our platform
We may suspend or terminate accounts that violate these rules or pose security, legal, or operational risk.
7. AI Agent Services and Disclaimers
Agent output is generated by third-party AI models and may be incorrect, incomplete, insecure, or unsuitable for your use case. You are solely responsible for reviewing code, tests, and pull requests before merging or deploying. Gouvernail provides orchestration and safety tooling; it does not guarantee correctness, security, or fitness for a particular purpose of agent-generated output.
Auto-merge, preview deployments, and rollback features reduce risk but do not eliminate it. You retain full control over your repositories and production systems.
8. Your Content and Repositories
You retain ownership of your code, prompts, and project data. You grant Slyseed a limited license to host, process, transmit, and display your content solely to operate and improve the Service, including running agents in sandboxes, storing encrypted chat history, and syncing with GitHub at your direction.
You are responsible for the contents of repositories you connect and for compliance with GitHub's terms and any applicable open-source licenses.
9. Free Tier, Fees, and Billing
We may offer a free tier with limited work units. After free-tier limits are exhausted, you may need to provide your own API keys or subscribe to a paid plan where offered. Pricing and plan features may change with notice as described in Section 16. Failure to pay applicable fees may result in suspension of paid features.
10. Third-Party Services
The Service integrates with third parties including Twilio (messaging), Amazon Web Services (hosting and storage), GitHub (source control), and AI providers you authorize (e.g., Anthropic, OpenAI). Your use of those services is subject to their respective terms. We are not responsible for third-party outages, policy changes, or data handling outside our control.
11. Intellectual Property
Gouvernail, the Gouvernail mark, and all Service software, documentation, and branding (excluding your content) are owned by Slyseed or its licensors. These Terms do not grant you any rights to our trademarks or proprietary technology except the limited right to use the Service as intended.
12. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Service, you acknowledge that you have read it.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLYSEED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE OR AGENT OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
15. Indemnification
You will defend, indemnify, and hold harmless Slyseed from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.
16. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction in Travis County, Texas, for intellectual property or unauthorized access claims.
You and Slyseed waive any right to a jury trial or to participate in a class action. If arbitration is unenforceable for a particular claim, the exclusive venue for litigation is state or federal courts located in Travis County, Texas.
17. Changes to Terms
We may modify these Terms from time to time. We will post the updated Terms on this page and update the effective date. Material changes may also be communicated via the Service or email where appropriate. Continued use after changes become effective constitutes acceptance.
18. Termination
You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, non-payment, or operational necessity. Sections that by nature should survive (including disclaimers, limitation of liability, indemnification, and dispute resolution) survive termination.
